CBA directors liable if poor company culture causes financial damage

Corporate governance and legal experts have warned that board directors risk being in breach of their duties where it can be proven that poor corporate culture within a company contributed to a financial loss or reputational damage to an organisation.

Jennifer Hill, a professor of corporate law at the University of Sydney, said she expected boards would be increasingly focused on an organisation's integrity as they reviewed management performance.
