The Sunshine Coast director behind three collapsed companies has been “restrained” from using intellectual property by a Federal Court judge following his conduct in the sale of a separate shed company.

Federal Court of Australia documents between Transportable Shade Sheds Australia Pty Ltd and Aussie Shade Sheds Pty Ltd detail the orders made by Justice Berna Collier on June 4, 2024.

The court documents list Jason Scott Diprose as the second prospective respondent in the case, naming him as the director for Aussie Shade Sheds.

Australian Securities and Investments Commission documents show Mr Diprose was the director of the shed company up until March this year.

The sole shareholder of Aussie Shade Sheds is a company, of which the sole director is Mr Diprose, according to the Federal Court documents.

According to the court documents Mackay businessman James Mogford bought the shed company, Transportable Shade Sheds Australia Pty Ltd, when he became aware the vendor’s companies were going into liquidation.

“In or about April 2023 he discovered that the vendor companies were about to go into liquidation,” the documents stated.

“Those companies included Transportable Shade Sheds Pty Ltd. Around that time Mr Mogford commenced discussions with the liquidator in relation to acquiring the assets, including the intellectual property and associated rights of the vendor companies.”

Mr Mogford alleged in the court documents that between December 2023 and January 2024 Aussie Shade Sheds was competing with his company using the intellectual property he purchased.

He further alleged an employee at Aussie Shade Sheds said he was requested to copy the database of customers, but the employee was to remain anonymous as he “feared reprisal” by Mr Disprose.

Justice Collier ultimately found Mr Mogford did have the exclusive rights to the assets and intellectual property of the shed company and none of the respondents had legal rights to the assets.

The court ordered all the prospective respondents, including Mr Diprose, to “be restrained” from supplying or selling any products derived from the intellectual property assets purchased by Mr Mogford.

It was also ordered no files, records or documents be erased or destroyed by any of the prospective respondents.

Mr Mogford told this publication he deserved the right to protect the intellectual property of the company he purchased.

“We jumped at the opportunity to add Transportable Shade Sheds to our group of companies, because the product is the original and best shade shed on the market,” Mr Mogford said.

“We were quick to purchase all the intellectual property from the liquidators and we believe we deserve the right to protect our investment.”

Earlier this year, Mr Diprose placed three companies, including Heka Diprose Pty Ltd, Heka Coatings Pty Ltd and Heka Solutions Pty Ltd, into liquidation, which were last estimated to owe a multi-million dollar debt.
