A Gold Coast man has been fined $2000 for failing to disclose an ongoing lease deal to liquidators after the company he was a director for was wound up. 

Colin Zampatti pleaded guilty in Southport Magistrates Court on Monday to using a position dishonestly with intent to gain advantage or cause detriment. 

The Australian Securities and Investments Commission alleged Zampatti in his role as a director of R.C.G. Pty Ltd failed to alert liquidators about details of a pre-existing lease agreement in April 2018.

The lease agreement with an unrelated third party pertained to R.C.G Pty Ltd’s Western Australian business Quinns Quarry and land owned by the company in Neerabup, to the north of Perth. 

After placing the company into liquidation, Mr Zampatti continued to invoice and collect rental income under the terms of the lease, without informing the company’s liquidator. 

The invoice rendered in the name of the company, without the liquidator’s consent, totalled $2,338.60. 

Magistrate Janice Crawford took into account Zampatti’s guilty plea as well as the “unsophisticated” and “low level” nature of the offending. 

“General deterrence looms large in this type of offending. People who are acting as directors of companies have very high level responsibilities ... it is a position of trust,” she said. 

Zampatti was convicted as well as the $2000 fine.

Gold Coast company director  faces ‘breach of duties’ charge - November 17, 2021

A FORMER Gold Coast company director has been charged with breaching his duties in relation to a Western Australian business. 

Colin Zampatti, of Hope Island, appeared at the Southport Magistrates Court on Monday charged with breaching his directors’ duties.

Mr Zampatti was a director of R.C.G. Pty Ltd, and his charges related to his conduct involving Western Australian business Quinns Quarry.

R.C.G. Pty Ltd owned and operated the Neerabup business, and owned land in that area.

It’s alleged by ASIC that Mr Zampatti placed R.C.G. Pty Ltd into liquidation without disclosing to the appointed liquidator particulars of a pre-existing lease in April 2018.

The pre-existing lease is alleged to have been entered into with an unrelated third party tenant, for use of land owned by R.C.G. Pty Ltd.

It is also alleged that after placing the company into liquidation, Mr Zampatti continued to invoice and collect rental income payable under the terms of the lease, without disclosing his conduct to the company’s liquidator.

The invoice rendered in the name of the company, without the liquidator’s consent, totalled $2,338.60, it’s alleged.

The matter is next listed for January 17, 2022 to be prosecuted by the Commonwealth Director of Public Prosecutions.
