ISS against Rio director Megan Clark

The London office of global proxy adviser ISS has released its voting recommendations for the London annual general meeting of Rio Tinto on April 9 and has recommended UK shareholders vote against the re-election of director Megan Clark.

ISS cited the charter of the board’s sustainability committee, of which Clark has been chair since 2017, as the basis for its judgment. According to Rio Tinto’s 2020 annual report, the committee “oversees strategies designed to manage social and environmental risks, including management processes and standards. The committee reviews the effectiveness of management policies and procedures relating to … relationships with neighbouring communities, environment, human rights … ”
