Codeifai progresses key acquisition of AI-backed, quantum-secure platform

Codeifai says due diligence on acquisition of AI backed quantum-secure platform AntennaTransfer.io is progressing well and expected to close in September.

Special Report: Codeifai has announced due diligence is progressing well on its planned acquisition of AntennaTransfer.io, an AI-backed quantum secure communications platform, with the deal now expected to close in early September.

Codeifai (ASX:CDE) said it expects to complete its review shortly on AntennaTransfer.io, which is currently owned by Canadian financial technology company Credissential Inc and upon acquisition will be rebranded as QuantumAI Secure.

AntennaTransfer.io has recently secured two exclusive commercial contracts – one in the defence sector and another in aerospace.

AntennaTransfer.io’s agreement with NATO-registered defence procurement agency Effective Acceleration Ventures (EAV) includes a minimum CAD$1 million spend in year one for global exclusivity in defence-sector applications.

A second deal with a SpaceX launch partner, Geometric Energy Corporation (GEC), commits to a minimum US$1.5m spend over two years for exclusive use of the platform across aerospace and satellite launch sectors.

EAV is a NATO-registered defence procurement agency specialising in military equipment procurement, logistics, and talent acquisition for government and allied agencies.

Headquartered in Canada, the agency has successfully executed ~$4m in Canadian government defence contracts over the past six months.

Under the agreement EAV has been granted exclusive global rights to use, market and reference the AntennaTransfer.io platform within defence-sector procurement, personnel sourcing and payment-processing fields.

GEC is an advanced technology R&D firm specialising in energy, space and defence, and computing.

It is known for partnering with SpaceX to launch a cube satellite for space-based advertising. The mission, named Doge-1, will launch aboard a Falcon 9 SpaceX rocket.

GEC has secured exclusive global rights to use, market, and reference the AntennaTransfer.io platform within the aerospace and satellite launch sectors.

As part of this update, Codeifai notes a shift in the original proposed acquisition timetable by around two weeks, with the deal set to close on September 8.

Positioning as leaders in AI and quantum security

Codeifai believes the acquisition of the platform, which has been built from the ground up to withstand both classical and quantum threats, will mark a pivotal shift in its trajectory toward AI and quantum security leadership.

The platform complements the company’s existing QR code-based business with both serving different but converging purposes, traceability and compliance on one side then quantum-secure payments and file transfers on the other.

Codeifai noted that integrating the two would enable end-to-end trust, from tracking asset origins to securing their transfer, creating a seamless and future-proof security layer that meets rising regulatory demands.

The company is targeting a rapidly growing market suite through its proposed acquisition including:

  • Secure communications –valued at US$33.49 billion in 2024, growing to US$85bn by 2032
  • QR code payments – valued at US$15.95bn in 2025, growing to US$73bn by 2035
  • Buy Now Pay Later (BNPL) – valued at US$560 bn in 2025, growing to US$911 bn by 2030
  • File sharing – valued at US$14bn in 2025, growing to US$28.7bn by 2032

Codeifai will initially target pilot customers in high-risk data-security sectors such as legal, fintech and microfinance.

And to support early momentum, the company plans to form a seasoned advisory panel and launch targeted outreach and early-access programs.

Its go-to-market strategy will combine enterprise sales, channel partnerships and product-led growth, with expansion into healthcare, government, BNPL and crypto.

Codeifai will also invest in marketing and strategic partnerships to position the platform as a trusted solution for quantum-safe payments and secure data transfers.
