THE drama at Gold Coast dental group Smiles Inclusive continues unabated with ousted CEO Mike Timoney and former chairman David Herlihy calling for a second extraordinary general meeting, weeks out before the first one has even taken place.
Mr Timoney and Mr Herlihy have called for a meeting on May 22 where they are seeking the removal of new chairman David Usasz, director Tracy Penn and other directors appointed since March 25. They also want to appoint paediatric dental specialist Dr John Camacho to ensure dentists are represented on the board.
In opposition, major shareholder Lev Mizikovsky and Jonathan Hamilton have proposed two more resolutions aimed at removing Mr Timoney and Mr Herlihy as directors.
Mr Timoney and Mr Herlihy yesterday said a second EGM was necessary to vote on the removal of ex-Morgans director Peter Evans, who is in charge of the one-man independent committee co-ordinating May’s meeting.
They said Mr Evans was not independent in the wake of his decision to refuse to put forward three other director nominees of their choosing.
Mr Herlihy said Mr Evans was too closely aligned to Mr Usasz and Ms Penn.
“Mr Evans wrote to us on April 10 advising: ‘the decision not to put forward your additional directors was because it would have unnecessarily complicated the EGM process. We were advised to void it’.

“The last time I went to high school, ‘we’ is not one person. Mr Evans has refused to respond to our allegations.”
Smiles yesterday said the statement from Mr Timoney and Mr Herlihy indicated they would refuse the judgment of the company’s shareholders.
The company said Mr Evans has indicated he does not wish to be part of the company if Mr Timoney and Mr Herlihy take control.
