The “truth in takeovers” regime is a uniquely Australian regulatory obsession. Many other countries do not apply it at all (such as the United States), or as strictly.

The regime comes from an Australian Securities and Investments Commission regulatory guide with origins in 1992. It says that when you say you are (or aren’t) going to do something in the context of a control transaction then you are bound by it.
